
Training Services Terms & Conditions
Introduction and Scope
These Terms and Conditions ("T&Cs") govern every purchase of learning services offered by The ESG Institute Limited ("the Company", "we", "us"), including:
On‑Demand Courses – self‑paced e‑learning modules purchased directly through our Teachable™ platform or any other online storefront we operate.
Scheduled Instructor‑Led Courses – live courses (classroom, virtual or blended) listed on our public schedule and open to individual enrolment ("Public Courses").
Tailor‑Made Courses – custom programmes, workshops or masterclasses delivered exclusively for a client organisation or individual (in person, online or hybrid).
Other Training Activities – coaching sessions, webinars, conference presentations, learning‑path design or any similar services we agree in writing.
By completing an online checkout, submitting a booking request, signing a proposal or issuing a purchase order, you ("you", "your") accept these T&Cs. Any terms you propose are excluded unless we expressly agree in writing.
Definitions
Booking Confirmation – the email or invoice we issue confirming acceptance of your order.
Delegate / Learner – the individual accessing the learning service.
Commencement Date – (a) the moment access credentials for an On‑Demand Course are first issued; or (b) the first scheduled delivery date of a live Course.
Contract Formation
On‑Demand Courses – a binding contract is formed, and immediate access granted, when your online payment is successfully processed.
Scheduled Courses – the contract forms when we send your Booking Confirmation.
Tailor‑Made / Other Services – the contract forms upon our written acceptance of your signed proposal or purchase order, or when we send a Booking Confirmation, whichever occurs first.
Fees, Invoicing and Payment
All fees are exclusive of VAT (or equivalent tax) unless stated.
On‑Demand Courses – payment in full at checkout.
Scheduled Courses – payment in full within seven calendar days of invoice or before the Commencement Date, whichever is sooner.
Tailor‑Made / Other Services – 50 % deposit on acceptance, balance fourteen days before the Commencement Date (or as agreed in the proposal).
Late payments accrue interest at 4 % per annum above the Bank of England base rate.
Your Rights to Transfer, Substitute or Cancel
A. On‑Demand Courses
Digital content is available immediately; therefore no refunds are offered once access credentials are issued, except where required by consumer‑protection law. You may request a one‑time transfer to a different On‑Demand Course of equal or lower value within 48 hours of purchase, provided you have not accessed more than 10 % of the content.
B. Scheduled Courses (Public)
Substitutions – nominate a suitably qualified substitute up to two working days before the Commencement Date at no charge.
Transfers – one free transfer to a later date if requested at least ten working days before the Commencement Date; subsequent or late transfers incur a 20 % fee.
Cancellations – 100 % refund with ≥21 calendar days’ notice; 50 % refund with 10–20 days; no refund for <10 days or non‑attendance.
C. Tailor‑Made / Other Services
Cancel or postpone ≥15 calendar days pre‑delivery – forfeit deposit and non‑refundable expenses.
Cancel or postpone 1–14 days pre‑delivery – liable for 100 % of fees plus expenses.
Delegate substitutions are free with two working days’ notice.
Changes or Cancellation by the Company
We may cancel, reschedule or alter trainers, venues or platforms.
On‑Demand Courses – if discontinued within 90 days of purchase and you have not completed it, we will offer an alternative course or refund the fee.
Live Courses – you may accept the new date/format or receive a full refund. Our liability is limited to the fee refund; we do not reimburse travel, accommodation or incidental costs.
Delegate Responsibilities and Conduct
Delegates must meet prerequisites, attend all sessions, engage actively, complete assignments and respect trainers and peers. Recording or redistribution of content is prohibited. We may remove a Delegate for disruptive, discriminatory or unethical behaviour without refund.
Intellectual Property and Licence
Course materials remain our intellectual property.
On‑Demand Courses – single‑user licence valid for 12 months from Commencement Date unless stated otherwise. Sharing logins or copying content is forbidden.
Tailor‑Made Courses – unless specifically transferred in writing, materials are for your internal use only and may not be repurposed or taught to others.
Assessment, Certification and Access Periods
Certificates are issued electronically upon successful completion of required assessments or activities. Re‑sit fees may apply. Access to On‑Demand content is time‑limited per Section 8.
Data Protection and Privacy
Personal data are processed in line with our Privacy Policy and the Data Protection Act 2018 (Isle of Man). By booking, you consent to our processing for course management, certification and post‑course evaluation. We do not sell learner data.
Health, Safety and Accessibility
Notify us of any accessibility, dietary, medical or learning needs at least five working days before the Commencement Date. We will make reasonable adjustments where practicable. Delegates must comply with venue safety rules and online‑platform etiquette.
Warranties and Disclaimers
We deliver Courses with reasonable skill and care. Apart from this warranty, all other terms and warranties (express or implied) are excluded to the fullest extent permitted by law. We do not guarantee exam success, job performance or business outcomes.
Liability
Nothing in these T&Cs limits liabilities that cannot be excluded by law. Subject to that, our total liability is limited to the fees paid for the specific Course or Service. We are not liable for indirect or consequential loss, loss of profit, revenue, data or anticipated savings.
Force Majeure
Neither party is liable for delay or non‑performance caused by circumstances beyond reasonable control, including natural disaster, pandemic, war, strikes or cyber‑attack. If the event continues for 30 days, either party may cancel with refund for undelivered services.
Governing Law and Jurisdiction
These T&Cs are governed by Isle of Man law. Disputes are subject to the exclusive jurisdiction of the Isle of Man courts.
Variations
We may amend these T&Cs by posting an updated version on our website. The version in force at the time of Booking Confirmation applies.

Platform Terms for On‑Demand Courses
On‑Demand Courses are delivered through third‑party learning‑management systems (currently Teachable.com). In addition to these T&Cs, you must accept and comply with the platform provider’s Terms of Use and Privacy Policy when creating your learner account. If you decline the platform terms, we cannot grant course access; such refusal will be treated as a cancellation under Section 5.1. The platform provider is solely responsible for its infrastructure, availability and data‑processing practices; however, we will liaise with the provider to resolve technical issues where reasonably practicable.
For Tailor‑Made Courses and Other Services, additional terms may be set out in a separate agreement signed by both parties. Where conflicts arise, that agreement prevails over these T&Cs.
